Welcome to Fido. These Terms and Conditions ("Terms") govern your use of the website at getfido.com ("Website"), the Fido mobile and web application ("App"), and the services provided by Fido (collectively, the "Services"). "Fido," "we," "us," and "our" refer to the Fido entity providing the Services. "Customer," "you," and "your" refer to the individual or business accessing or using the Services.By accessing the Website, App, or using any Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
By accessing or using the Website or App, you confirm that you have read, understood, and agree to these Terms. You also represent that you are at least 18 years old or, if not, are using our services under the supervision of a parent or guardian who agrees to be bound by these Terms.
Fido provides field operations services for residential property managers, owners, and operators. Services may include, without limitation: bin-to-curb trash valet, pre- and post-stay inspections, property maintenance coordination, bulk item handling, cleaning management, vendor access coordination, and related operational support. The specific Services, pricing, frequency, and scope applicable to a Customer's account are set forth in the Customer's signed service agreement, order form, online checkout, or written confirmation from Fido (each, a "Service Agreement"). In the event of any conflict between these Terms and a Service Agreement, the Service Agreement controls.
Fido performs certain Services through a network of independent contractors and third-party service providers ("Providers"). Providers are not employees, agents, joint venturers, or partners of Fido for any purpose, and Customer acknowledges that Fido does not control the day-to-day conduct of Providers. Fido remains responsible for the overall delivery of Services in accordance with the applicable Service Agreement.
Customer agrees to:
Provide accurate and current information for each property serviced, including address, access instructions, gate codes, lockbox codes, parking restrictions, bin locations, and any special instructions.
Maintain safe and lawful access to each property during scheduled service windows. If Fido or a Provider is unable to perform a scheduled Service due to denied access, inaccurate information, locked gates, unsecured pets, or unsafe conditions, the Service will be deemed performed and billable.
Notify Fido in writing of any changes to property status, including units to be added to or removed from active service, ownership changes, or relevant operational changes.
Not request or direct Providers to perform tasks outside the scope of the applicable Service Agreement, and not solicit, hire, or contract directly with Providers outside of Fido during the term of Services and for twelve (12) months thereafter.
5.1 Fees. Customer agrees to pay all fees set forth in the applicable Service Agreement. Unless otherwise stated, fees are quoted in U.S. dollars and are exclusive of any applicable taxes, which Customer is responsible for paying.
5.2 Auto-Pay (Default). Customer is required to maintain a valid payment method on file (ACH bank account or credit/debit card) for automatic payment. Fees are charged automatically to the payment method on file on the invoice date. By providing a payment method, Customer authorizes Fido to charge that method for all amounts due under these Terms and the applicable Service Agreement, including recurring service fees, one-time charges, late fees, and any in-lieu-of-notice charges under Section 9.
5.3 Invoiced Accounts. At Fido's sole discretion, larger or enterprise Customers may be approved for invoice-based billing with negotiated payment terms set forth in a separate written agreement. Where no separate written terms exist, invoiced amounts are due upon receipt.
5.4 Failed Payments. If a payment method on file is declined, expires, or otherwise fails, Fido may retry the charge, suspend Services until payment is received, and/or refer the account to collections. Customer is responsible for keeping payment information current
.5.5 Disputed Charges. Customer must notify Fido in writing of any disputed charge within thirty (30) days of the invoice date. Charges not disputed within this period are deemed accepted and final, and Customer waives any right to later dispute them.
Any amount not paid by the due date will accrue a late fee of one and one-half percent (1.5%) per month (18% per annum), or the maximum rate permitted by law (whichever is lower), beginning fifteen (15) days after the original due date and accruing until paid in full. Customer agrees to pay all reasonable costs incurred by Fido in collecting past-due amounts, including but not limited to collection agency fees, court costs, and attorney's fees.
Fido reserves the right to adjust pricing for Services with thirty (30) days' written notice, which may be delivered by email to the Customer's account email of record. Continued use of Services after the effective date of a price change constitutes acceptance of the new pricing.
Unless otherwise specified in a Service Agreement, Services are provided on a month-to-month basis and automatically renew each month until terminated in accordance with Section 9.
9.1 Termination by Customer. Customer may terminate Services, or remove individual units from active service ("portfolio offboarding"), by providing thirty (30) days' written notice to Fido at support@getfido.com. The notice period begins on the date Fido receives the notice. Services and billing continue at standard rates through the end of the notice period.
9.2 Termination Without Notice. If Customer terminates Services or offboards units without providing the required thirty (30) days' written notice, Customer agrees to pay Fido an amount equal to one (1) full month of service at the then-current rate for the affected units, in lieu of notice. This amount will be invoiced upon termination and is due within fifteen (15) days.
9.3 Account Standing. All accounts must be current at the time of termination. Outstanding balances, including invoices for Services rendered through the final service date and any in-lieu-of-notice charges under Section 9.2, remain the obligation of the Customer and survive termination. Termination does not extinguish, reduce, or otherwise affect Customer's obligation to pay any amounts owed to Fido.
9.4 Termination by Fido. Fido may suspend or terminate Services at any time, with or without notice, for non-payment, breach of these Terms or any Service Agreement, fraud, abusive conduct toward Fido personnel or Providers, or for any other reason at Fido's sole discretion. Upon termination by Fido for cause, all outstanding balances become immediately due and payable.
Fido will use commercially reasonable efforts to perform Services as scheduled, but does not guarantee performance on any specific date or time. Service delays, reschedules, or missed services may occur due to weather, municipal collection schedule changes, holidays, access issues, force majeure events, Provider availability, or other circumstances. Fido's sole obligation in such cases is to reschedule the affected Service or, at Fido's discretion, issue a credit for the missed Service. Recurring Services are billed at flat monthly rates and are not pro-rated for individual missed services, holidays, or vacancies unless otherwise agreed in writing.
Customer must notify Fido in writing of any claim of property damage allegedly caused by Fido or a Provider within forty-eight (48) hours of the alleged incident or discovery, with supporting documentation including photographs, dates, and a description of the damage. Claims not submitted within this period are waived. Fido will investigate timely claims in good faith but is not liable for: (a) pre-existing damage; (b) damage caused by Customer, guests, occupants, or third parties; (c) ordinary wear and tear; (d) damage to items not properly secured or identified; or (e) consequential damages including lost rental revenue, guest refunds, or reputational harm.
In the course of providing Services, Fido and its Providers may capture photographs, videos, GPS coordinates, timestamps, and other operational data ("Service Data") to document service performance, verify completion, train Providers, and improve operations. Customer grants Fido a perpetual, irrevocable, royalty-free license to use Service Data for these purposes. Fido may also use de-identified and aggregated Service Data for any business purpose, including analytics, benchmarking, and marketing.
If Customer submits reviews, testimonials, photographs, logos, or other content to Fido ("Customer Content"), Customer grants Fido a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, modify, display, and distribute the Customer Content in connection with Fido's business, including marketing and promotional materials. Customer represents that it owns or has the rights necessary to grant this license. Fido may remove or refuse any Customer Content at its discretion.
You may use the Website and App only for lawful purposes. You agree not to:Use the Website or App in a way that could damage, disable, overburden, or impair them or interfere with others' use.Access, alter, or delete content or data without authorization.Use automated scripts, bots, scrapers, or other technologies to collect information.Violate any applicable local, state, national, or international law or regulation.Reverse engineer, decompile, or attempt to extract source code from the App or any Fido software.
All content, trademarks, logos, software, designs, and other intellectual property on or related to the Website, App, and Services are the property of Fido or its licensors. You may not use, reproduce, distribute, or create derivative works from any Fido content or marks without our prior written consent.
Your use of the Website, App, and Services is governed by the Fido Privacy Policy, which describes how we collect, use, and protect personal information.
The Website and App may contain links to or integrations with third-party websites and services. Fido does not endorse or control third-party content and is not responsible for third-party practices or policies.
THE WEBSITE, APP, AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. FIDO DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. FIDO DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF DELAYS, OR THAT ANY DEFECTS WILL BE CORRECTED.
TO THE FULLEST EXTENT PERMITTED BY LAW, FIDO AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FIDO'S TOTAL CUMULATIVE LIABILITY FOR ANY AND ALL CLAIMS ARISING UNDER OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY CUSTOMER TO FIDO IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Customer agrees to indemnify, defend, and hold harmless Fido and its affiliates, officers, directors, employees, and Providers from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from or related to: (a) Customer's breach of these Terms or any Service Agreement; (b) Customer's violation of any law or third-party right; (c) inaccurate or incomplete property information provided by Customer; or (d) any claim brought by a property owner, occupant, guest, HOA, or municipality relating to the Services where Customer's acts or omissions contributed to the claim.
Fido will not be liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, severe weather, fire, flood, hurricane, earthquake, epidemic or pandemic, government action, labor disputes, supply shortages, utility failures, internet or telecommunications failures, cyberattacks, or acts of third parties (including municipal waste collectors).
These Terms and any disputes arising from or relating to these Terms or the Services will be governed by the laws of the State of Texas, without regard to its conflict of law principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Texas for all disputes.
If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent.
Customer may not assign these Terms or any rights or obligations hereunder without Fido's prior written consent. Fido may assign these Terms in connection with a merger, acquisition, sale of assets, or by operation of law, and otherwise at its discretion.
Any provisions of these Terms that by their nature should survive termination shall survive, including without limitation Sections 5 (Fees), 6 (Late Fees and Collections), 9.3 (Account Standing), 11 (Damage Claims), 12 (Service Data), 13 (Customer Content), 15 (Intellectual Property), 18 (Disclaimer), 19 (Limitation of Liability), 20 (Indemnification), and 22 (Governing Law).
These Terms, together with any applicable Service Agreement and the Privacy Policy, constitute the entire agreement between Customer and Fido regarding the subject matter hereof and supersede all prior or contemporaneous agreements, communications, or proposals, whether oral or written.
Fido may update these Terms from time to time. Updates will be reflected by the "Last Updated" date at the top of these Terms. Material changes will be communicated by email to the Customer's account email of record. Continued use of the Services after the effective date of any update constitutes acceptance of the updated Terms.
